The Presenters Club Subscription Agreement

BY COMPLETING THE 'SIGN-UP' PROCESS, YOU AGREE TO THE TERMS OF THIS THE MEMBER AGREEMENT, JUST AS IF YOU HAD SIGNED THE MEMBER AGREEMENT.

This Agreement sets forth the terms and conditions on which Presenter Promotions will furnish you ("THE MEMBER") a limited non-exclusive, non-assignable license to access The Presenters Club, ("THE CLUB") as the same now exists or is hereafter modified. By completing this sign-up process, you agree to be bound by the terms and conditions set forth herein, including but not limited to the payment terms and limitations on the use of THE CLUB information.
1. OWNERSHIP AND USE
1.1 Information received by THE MEMBER from THE CLUB is provided solely for the use of THE MEMBER.
1.2 Unless separately and specifically licensed to do so in writing by The Presenters Club, THE MEMBER agrees not to re-transmit, disclose or distribute any of the information received from THE CLUB, to any other person, organisation or entity.
1.3 THE MEMBER expressly agrees that THE CLUB shall be used solely for the benefit of THE MEMBER and information derived from THE CLUB shall not be redistributed by THE MEMBER.
1.4 THE MEMBER acknowledges that all information supplied, is the exclusive property of Presenter Promotions or of third-party partners which have agreed to furnish such information to THE CLUB, and are fully protected by copyright law.
1.5 THE MEMBER may use the information in THE CLUB under the following terms.
1.6 THE CLUB grants to THE MEMBER a personal, non-transferable license to use the data contained in THE CLUB for job seeking, application, research, planning and marketing related purposes.
1.7 THE MEMBER may not use the information for development of data-related products, the creation of any database product, or for data provision.
2. FEES AND PAYMENT
2.1 THE MEMBER agrees to make payment for membership of THE CLUB.
2.2 THE MEMBER agrees that the length of the period they chose has been determined by the subscription payment they agreed to during the sign-up process.
2.3 A copy of the fees is available on request by email, or by Telephone: 01634 851077.
2.4 Presenter Promotions reserves the right to change the amount of the fees and/or the method in which these fees are billed to THE MEMBER at anytime upon notice to THE MEMBER.
2.5 It is understood and agreed that the features of THE CLUB are subject to change without notice to THE MEMBER.
3. REFUNDS AND CANCELLATIONS
3.1 THE MEMBER may terminate subscription to THE CLUB at any time by sending an email, or by calling 01634 851077.
3.2 Upon receipt of a cancellation request, Presenter Promotions shall email confirmation of cancellation to THE MEMBER. Membership of THE CLUB shall then be deemed terminated.
3.4 THE MEMBER agrees that the subscription fee is non-refundable once paid.
3.5. Item 3.4 is Non-negotiable.
4. UNAUTHORISED USE OF INFORMATION
4.1 THE MEMBER also agrees that any unauthorised use of THE CLUB (and any information derived therefrom) may result in immediate termination of the Agreement, without refund of any pre-paid fees.
4.2 THE MEMBER represents and warrants that the information provided during the subscription process is true and accurate.
4.3 Presenter Promotions reserves the right to terminate THE MEMBER'S access to THE CLUB in the event that THE MEMBER provides any false information to Presenter Promotions as part of the subscription process, without refund of any pre-paid fees.
4.4 In the event of such termination, THE MEMBER will continue to be liable for applicable fees for the period prior to termination, together with any compensation or damgaes costs as to which Presenter Promotions may be entitled.
5. PASSWORDS
5.1 THE MEMBER shall be solely responsible for the confidentiality and use of THE CLUB using THE MEMBER'S user name and password.
5.2 THE MEMBER shall be solely responsible for any and all activity, including without limitation, any and all charges incurred by a third party under THE MEMBER's user name and password.
5.3 THE MEMBER shall not share the username and ID with any third party, and THE MEMBER will provide Presenter Promotions with accurate, complete registration information (including in particular THE MEMBER'S full address) and inform Presenter Promotions of any changes to such information.
5.4 If at any time THE MEMBER should learn or suspect that THE MEMBER'S password has been obtained by a person other than THE MEMBER, then THE MEMBER agrees to immediately notify Presenter Promotions by telephone: 01634 851077 and to confirm such notice in writing within seventy-two (72) hours.
5.5 Upon receiving such notice, Presenter Promotions will assign a new password to THE MEMBER at a cost of twenty (20) uk pounds.
6. DELAYS IN THE CLUB SERVICE
6.1 Neither Presenter Promotions, nor its respective directors, employees, affiliates or agents shall be liable for any loss resulting from delays or interruptions due to electronic or mechanical equipment failures, telephone interconnect problems, internet failure, intranet failure, extranet failure, hardware or software defects, storms, strikes, walkouts, fire or other casualty damage, or other causes over which they have no direct control, or any loss resulting from the contents of THE CLUB, or any errors in the transmission thereof.
6.2 Presenter Promotions will have no responsibility to provide THE CLUB to THE MEMBER during interruptions of THE CLUB.
7. TERMINATION OF MEMBERSHIP
7.1 This Agreement and the license rights granted hereunder shall remain in effect during the entire term of the AGREEMENT.
7.2 THE MEMBER may choose to cancel during the term of the AGREEMENT.
7.3 Regardless of the reason for cancellation or termination, the subscription feespaid by THE MEMBER are non-refundable.
7.4 Any advance payment for access, made by THE MEMBER is non-refundable, regardless of the reason for cancellation.
7.5 Presenter Promotions reserves the right to immediately terminate membership if THE MEMBER violates any of the terms and conditions of this Agreement.
7.6 This Agreement is not assignable by THE MEMBER unless such assignment is agreed to in writing by Presenter Promotions. There shall be no amendment or modification of this Agreement unless the same is in writing and signed by the Presenter Promotions owner of THE CLUB.
8. MONITORING
8.1 THE MEMBER acknowledges and agrees that Presenter Promotions reserves the right to, and may from time to time, monitor any and all information transmitted or received through THE CLUB.
8.2 Presenter Promotions, at its sole discretion and without notice to THE MEMBER, may review, censor or prohibit the transmission or receipt of any information which Presenter Promotions deems inappropriate.
9. DISCLAIMER OF WARRANTY
9.1 THE MEMBER acknowledges that all information provided in connection with THE CLUB is compiled from and distributed by sources which are often beyond the control of Presenter Promotions, and it is understood and agreed that Presenter Promotions makes no warranty, expressed or implied, with respect to the information provided to THE MEMBER by THE CLUB.
9.2 Presenter Promotions also makes no warranty of the continuous availability of THE CLUB. THE MEMBER, under this Agreement, assumes the risk of errors and/or omissions in the information provided, and in its transmission or translation.
9.3 THE MEMBER acknowledges that no warranties, agreements, or representations to the contrary, expressed or implied, including any warranty of merchantability or fitness for any particular purpose, have been made and no warranties exist except as set forth in this agreement.
9.4 THE MEMBER agrees that Presenter Promotions shall not in any event be liable for including but not limited to any incidental, consequential, direct, indirect, compensatory or special damages arising out of the use or inability to use the club.
9.5 Presenter Promotions does not represent or warrant that the information, the club provides by Presenter Promotions to THE MEMBER will be error free, or will meet THE MEMBER'S requirements or are suitable for THE MEMBER'S needs.
9.6 While every reasonable effort has been made to obtain accurate and up-to-date information, Presenter Promotions assumes no liability for inaccuracies.
9.7 Presenter Promotions reserves the right to edit any THE CLUBS content based on editorial judgement.
9.8 THE MEMBER acknowledges and agrees that Presenter Promotions will use reasonable efforts to assure that no viruses are passed through THE CLUB. however, THE MEMBER hereby assumes all responsibility for detecting and eradicating any virus or programmes with a similar function.
9.9 The provisions of this Section 9 shall survive termination of this agreement.
10. LIMITATIONS OF LIABILITY, INDEMNITY
10.1 Notwithstanding the enforceability or non-enforceability of any other provision of this agreement, Presenter Promotions and THE MEMBER hereby agree that Presenter Promotions's maximum aggregate liability to THE MEMBER for any claims arising from or related to this agreement, whether in contract, tort or otherwise, shall be limited in an amount equal to ten percent (10%) of all sums paid by THE MEMBER to the Presenter Promotions under this agreement.
10.2 This provision shall survive termination of this agreement.
10.3 Upon Presenter Promotions's request, THE MEMBER shall defend, indemnify and hold Presenter Promotions harmless from any claims and expenses, including reasonable legal fees, related to any breach of these Terms by THE MEMBER or THE MEMBER'S use of THE CLUB.
11. AGREEMENT GOVERNS
11.1 It is understood and agreed by and between the parties that if there is any conflict between this Agreement and THE MEMBER'S order or any other document not signed by Presenter Promotions, this Agreement will govern.
12. RECOVERY OF FEES
12.1 THE MEMBER agrees that if Presenter Promotions takes action (by itself or through its representatives) to enforce any of the provisions of this Agreement, including collection of any amounts due hereunder, Presenter Promotions shall be entitled to recover from THE MEMBER (and THE MEMBER agrees to pay), in addition to all sums to which it is entitled or any other reasonable and necessary legal fees and any costs of any litigation.
13. WHOLE AGREEMENT
13.1 THE MEMBER acknowledges by completing the sign-up process and clicking "submit order", that this Agreement, along with Presenter Promotions Terms and Conditions and Presenter Promotions Privacy Policy constitute the entire agreement between the parties. The Terms and Conditions and Privacy Policy are hereby incorporated into this Agreement.
